VPSS is operated by VPSS Business Process Outsourcing, a sole proprietorship registered in Davao City, Philippines under the name of Manuel Co.

VPSS provides virtual staffing solutions, including the sourcing, vetting, placement, and ongoing management of virtual assistants and professionals for businesses. Our Services include but are not limited to executive virtual assistance, real estate VA services, medical VA services, cold calling and lead generation, accounting and bookkeeping, marketing and branding, customer support, data entry, web development, call center support, and specialized talent acquisition.

The specific scope, pricing, and terms of any engagement are governed by the service agreement entered into between VPSS and the client.

4. Use of the Website

You agree to use our Website only for lawful purposes and in a manner consistent with applicable laws and regulations. You agree not to:

  • Engage in unauthorized access to our systems or networks
  • Transmit viruses, malware, or any harmful or disruptive code
  • Infringe upon the intellectual property rights of VPSS or any third party
  • Engage in fraudulent, deceptive, or misleading activities

5. Client Accounts

If you create an account or are provided access to our client portal or operations platform, you are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. 6. Intellectual Property

All content on the VPSS Website, including but not limited to text, graphics, logos, icons, images, and software, is the property of VPSS or its content providers and is protected by applicable intellectual property laws. 7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. Virtual assistants placed by VPSS are required to sign non-disclosure agreements as part of their independent contractor agreements. VPSS does not disclose client information to third parties except as necessary to deliver the Services or as required by law.

8. Payment Terms

Payment terms for our Services are outlined in the individual service agreement between VPSS and the client. Invoices are issued via Payoneer unless otherwise agreed upon in writing. Failure to make timely payments may result in suspension or termination of Services.

9. Staff Replacement Policy

If a client is not satisfied with an assigned virtual assistant, VPSS offers a free replacement subject to the terms of the applicable service agreement. The replacement process will be initiated following written notification from the client and completion of the standard offboarding and recruitment process.

10. Termination

Either party may terminate the service engagement in accordance with the terms outlined in the applicable service agreement. VPSS reserves the right to suspend or terminate access to the Website or Services at its sole discretion, without prior notice, if a user or client violates these Terms or engages in conduct that is harmful to VPSS, its team members, or other clients.

11. Disclaimers

Our Website and Services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied. VPSS does not warrant that the Website will be uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee specific results from the use of our Services.

12. Limitation of Liability

To the fullest extent permitted by applicable law, VPSS and its owners, officers, and staff shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Website or Services, even if advised of the possibility of such damages. Our total liability for any claim arising from the use of our Services shall not exceed the total fees paid by the client in the three months preceding the claim.

You agree to indemnify, defend, and hold harmless VPSS, its owners, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of the Website or Services, your violation of these Terms, or your violation of any third-party rights.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising from or relating to these Terms or our Services shall be subject to the exclusive jurisdiction of the appropriate courts of Davao City, Philippines.

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreement, constitute the entire agreement between you and VPSS regarding your use of the Website and Services, and supersede all prior communications or agreements on the same subject matter.
